01Acceptance of terms

These Terms of Use ("Terms") govern your access to and use of broochindustries.com and all related services (the "Platform"), operated by Brooch Industries Pvt. Ltd. ("Brooch", "we", "us", "our").

By browsing the Platform, registering as a supplier, sending an enquiry or posting a requirement, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Platform.

If you use the Platform on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and "you" includes that business.

02About the Platform

Brooch operates an online B2B marketplace where suppliers list industrial products, including metals, scrap & recycling materials, industrial components, EV components and energy-storage materials, and buyers discover those products and send enquiries.

Unless we expressly agree otherwise in writing for a specific order, Brooch acts as an intermediary that connects buyers and suppliers. Contracts for the sale of goods are made directly between the buyer and the supplier. Brooch is not the seller, buyer, manufacturer or owner of listed products.

Where Brooch provides sourcing, procurement, logistics or verification support, it does so to help the parties. The final commercial decision, and responsibility for the deal, remains with the buyer and supplier.

03Eligibility

• You must be at least 18 years old and legally able to enter into a binding contract under Indian law.
• The Platform is intended for business and professional use, not for personal or household purchases.
• Suppliers must be lawfully registered businesses holding the registrations and licences needed to trade in the products they list.

04Accounts and registration

• Supplier registration takes place on our own registration form. You must provide true, accurate, current and complete information, and keep it updated.
• You are responsible for keeping your login details confidential and for all activity under your account.
• Tell us immediately at broochindustries@gmail.com if you suspect unauthorised use of your account.
• One business may not create multiple accounts to mislead buyers, avoid a suspension or manipulate the Platform.
• We may refuse, suspend or close a registration that is incomplete, misleading or breaches these Terms.

05Supplier responsibilities

If you list products on the Platform, you agree that:

• Listings are accurate and not misleading, including specifications, grade, composition, quantity, location, photos and pricing.
• You own the products or are authorised to sell them, and they are free from any legal claim.
• You hold all registrations, licences, authorisations and permissions required by law, including GST registration and, where applicable, authorisations under environmental rules for scrap, e-waste, battery waste or hazardous waste.
• You will respond to genuine buyer enquiries honestly and within a reasonable time.
• You are responsible for the quality, delivery, invoicing, taxes, warranties and after-sales obligations of the goods you sell.
• You grant Brooch a non-exclusive, royalty-free licence to display, format and promote your listing content (text, photos, logos) on the Platform and in Brooch marketing.

06Buyer responsibilities

• Send only genuine enquiries and requirements that you intend to act on.
• Check product specifications, grade, quantity, supplier credentials and terms yourself before placing an order or making payment.
• Honour the commercial terms you agree with a supplier, including payment and pickup timelines.
• Use supplier contact details received through the Platform only for the enquiry concerned, not for spam or unrelated marketing.

07Prohibited items and conduct

You must not use the Platform to list, buy, sell or promote, or to do, any of the following:

• Stolen goods, or scrap obtained from theft, including stolen cables, public infrastructure material or vehicle parts.
• Radioactive, explosive, contaminated or hazardous material that you are not legally authorised to handle and trade.
• Counterfeit, illegal or restricted goods, or goods that infringe anyone's trademark, patent, design or copyright.
• Fake, altered or borrowed documents, GST numbers or business identities.
• False, misleading or bait listings, fake enquiries, fake reviews or price manipulation.
• Spam, harassment, abusive language, or bypassing the Platform to defraud another user.
• Scraping, copying or harvesting data from the Platform, uploading malware, or attempting to access systems or accounts you are not authorised to access.
• Anything that breaks any law in force in India.

We may remove content, cancel listings and suspend accounts involved in prohibited activity, and may report it to the authorities.

08Enquiries, quotes and transactions

• Prices shown in listings are indicative unless the supplier confirms them in writing. Final price, quantity, quality and terms are agreed between buyer and supplier.
• Brooch does not guarantee that any enquiry will result in a quote, order or completed transaction.
• Unless Brooch expressly takes on a role in writing for a specific order, payments are made directly between buyer and supplier, and Brooch is not responsible for non-payment, short supply, delay or quality disputes.
• We encourage both parties to confirm orders in writing with a purchase order and proper tax invoice.
• If a dispute arises, Brooch may, at its discretion, try to help the parties reach a solution, but is not obliged to resolve it.

09Daily rates and market information

Rates, prices, trends and other market information on the Platform, including the Daily Rates page, are provided for general information only. They are indicative, may be based on third-party sources, can change without notice and may differ from actual market prices in your location.

This information is not financial, trading or investment advice. Please verify prices independently before making any business decision. Brooch is not liable for any loss arising from reliance on this information.

10Supplier verification

A "Verified" badge means that a supplier has completed our verification checks at the time of verification, such as review of business registration and GST details.

Verification is not a guarantee or warranty of a supplier's product quality, performance, financial standing or future conduct. Buyers should still carry out their own checks before trading, especially for large or advance-payment orders.

11Logistics coordination

• When we coordinate transport, the goods are carried by independent third-party logistics partners.
• Freight charges, pickup times and delivery estimates are shared in good faith but may change due to vehicle availability, weather, traffic, regulations or other factors outside our control.
• Loss, damage or delay in transit is governed by the terms of the logistics partner. Where needed, parties should arrange suitable transit insurance.
• The consignor is responsible for correct packing, loading, weight declaration and transport documents such as invoices and e-way bills.

12Fees and payments

Browsing the Platform and sending enquiries is currently free. Some services, such as premium supplier listings, procurement support, logistics coordination or verification, may be chargeable.

Any applicable fees, taxes and payment terms will be clearly communicated before you are charged. Fees once paid are non-refundable unless stated otherwise in writing or required by law.

13Intellectual property

The Platform, including its design, layout, logo, brand name "Brooch", text, graphics and software, is owned by or licensed to Brooch Industries Pvt. Ltd. and protected by Indian intellectual property laws.

You may view and use the Platform for your own business sourcing. You may not copy, reproduce, republish, sell or create derivative works from any part of it without our written permission.

Content uploaded by users remains the property of those users, subject to the licence granted to Brooch in section 05.

14Disclaimers

The Platform and all content and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Brooch makes no warranties, express or implied, about the accuracy, completeness or reliability of listings, user content or market information, or that the Platform will be uninterrupted, error-free or free from viruses.

Brooch does not endorse any product, supplier or buyer, and is not responsible for the acts or omissions of users.

15Limitation of liability

To the fullest extent permitted by law, Brooch, its directors, employees and partners will not be liable for any indirect, incidental, special or consequential loss, including loss of profit, business, goodwill or data, arising from use of the Platform or from any transaction between users.

Where Brooch is found liable, its total liability for any claim will not exceed the fees, if any, paid by you to Brooch for the specific service giving rise to the claim in the three months before the claim arose.

16Indemnity

You agree to indemnify and hold harmless Brooch, its directors, employees and partners from any claim, loss, penalty or expense, including reasonable legal fees, arising from your breach of these Terms, your listings or content, your transactions with other users, or your violation of any law or third-party right.

17Suspension and termination

• We may suspend or terminate your access, remove listings or close accounts, with or without notice, if you breach these Terms, if required by law, or to protect users and the Platform.
• You may close your supplier account at any time by writing to us.
• Sections that by their nature should continue after termination, including intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

18Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use and share personal data, including sharing of enquiry details between buyers and suppliers.

19Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any applicable dispute-resolution process, the courts at Chhatrapati Sambhaji Nagar, Maharashtra, will have exclusive jurisdiction over any dispute arising from these Terms or the Platform.

Before going to court, both parties agree to first try to resolve the dispute in good faith by writing to each other.

20Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top shows the latest version. Continued use of the Platform after changes are published means you accept the updated Terms. For significant changes, we will make reasonable efforts to notify registered suppliers.

21Grievances and contact

For questions about these Terms, or to report a listing, a user or a grievance, contact us. Grievances are acknowledged within 24 hours and resolved within the time required under applicable law.
