01About these Supplier Terms

These Supplier Terms apply to every business that registers as a supplier, creates a supplier profile or lists products on broochindustries.com (the "Platform"), operated by Brooch Industries Pvt. Ltd. ("Brooch", "we", "us").

They are in addition to our Terms of Use and Privacy Policy. If there is a conflict on a supplier matter, these Supplier Terms apply. By registering as a supplier, you accept all three.

02Who can register

• Manufacturers, traders, dealers, recyclers, scrap aggregators and component makers dealing in metals, scrap & recycling, industrial components, EV components or energy-storage materials.
• The business must be lawfully registered in India, and the person registering must be at least 18 and authorised to act for the business.
• A valid GST registration is required where GST law applies to your business.

03Registration and verification

• Registration is done through our own supplier registration form. All details you submit, including business name, GST number, address, contact person and categories, must be true and current.
• We may ask for documents such as GST certificate, business registration, address proof, licences or authorisations, and photos of your facility or stock.
• We may call you, check public records or visit your premises to confirm details.
• We may approve, hold or reject any registration at our discretion, including where information cannot be verified.
• Keep your profile updated. If your GST, address, ownership or licences change, update them or tell us within 15 days.

04Your supplier profile

Your profile is your digital storefront. Company name, city, categories, product listings, photos and your verification status are visible to buyers and may appear in search engines.

Your phone number and email are shared with buyers when they send you an enquiry, or when you respond to one, so that you can do business directly.

05Listing standards

Every product you list must:

• Be a real product that you have in stock or can supply within the timeline stated.
• Be placed in the correct category and sub-category.
• Have a clear title and accurate specifications, such as grade, composition, size, purity, standard or model.
• State available quantity and minimum order quantity in clear units such as kg, tonne, piece or set.
• Show your own genuine photos. Do not use photos copied from other suppliers or the internet without permission.
• Show the correct dispatch location.
• Not contain phone numbers, emails or website links inside titles, descriptions or photos, as contact details are shown through the enquiry system.

We may edit formatting, correct categories, hide or remove listings that do not meet these standards, with or without notice.

06Pricing and quotes

• Prices on listings are treated as indicative unless you mark them as fixed. State whether prices include or exclude GST, freight and loading.
• Keep prices reasonably current. For fast-moving items like scrap and metals, update or remove prices that are no longer valid.
• Do not use unrealistic low prices to attract enquiries and then quote much higher. This is treated as a misleading listing.
• Quotes you send to buyers should state validity, payment terms, delivery terms and taxes clearly.

07Handling buyer enquiries

• Respond to genuine enquiries promptly. We recommend replying within 24 hours, and within 48 hours at most.
• If you cannot supply, tell the buyer politely so they can source elsewhere.
• Be honest about stock, lead times and quality. Do not accept orders you cannot fulfil.
• Keep communication professional and respectful at all times.

Brooch does not guarantee any minimum number of enquiries, orders or sales. Enquiry volume depends on demand, category, location, pricing and your listing quality.

08Use of buyer data

• Use buyer details received through the Platform only to respond to that buyer's enquiry and complete related business.
• Do not sell, share, rent or publish buyer data, or add buyers to bulk marketing lists without their consent.
• Protect buyer data with reasonable care and delete it when it is no longer needed.
• Follow applicable data protection law, including the Digital Personal Data Protection Act, 2023, when handling buyer information.

09Product compliance and licences

You are fully responsible for making sure your products and trade are legal. In particular:

• Scrap must be lawfully sourced. Never list stolen material, cut public cables, railway or utility material, or scrap without proper purchase records.
• E-waste, battery waste and hazardous waste may only be listed if you hold the registrations and authorisations required under the applicable rules, such as those issued through the Central or State Pollution Control Boards.
• Radioactive, contaminated or explosive items must never be listed.
• Components and equipment must meet any mandatory standards that apply to them, such as BIS certification where required.
• You must follow export, import and transport rules applicable to your products.

We may ask for proof of compliance at any time and remove listings or accounts that cannot provide it.

10Quality, delivery and disputes

• Goods supplied must match the listing and the agreed quote in grade, quantity, quality and specification.
• Deliver on time and inform the buyer quickly about any delay.
• Provide weighbridge slips, test certificates or inspection reports where agreed or customary for the product.
• Contracts of sale are made directly between you and the buyer. You are responsible for resolving quality, quantity, payment and delivery disputes with the buyer.
• Brooch may, at its discretion, help both sides reach a fair solution, and may consider the outcome when reviewing your account.

11Taxes, invoicing and documents

• Issue proper GST-compliant tax invoices for your sales.
• Generate e-way bills and other transport documents where required.
• You are responsible for all taxes, duties, TDS/TCS and statutory filings related to your sales.
• Brooch is not responsible for any tax liability arising from transactions between you and buyers.

12Managed orders and fees

A basic supplier listing is currently free. Brooch may introduce paid plans, featured listings, lead packages or service fees. Any fee will be clearly shared with you in advance, and you can choose whether to opt in.

For some orders, Brooch may provide managed sourcing, bulk sourcing or logistics coordination. The commercial terms for such orders, including any commission or service fee, will be agreed in writing before the order. You agree to honour those written terms, including any agreed restriction on bypassing Brooch for the same buyer and requirement.

13Verified badge

• A "Verified" badge is shown only after you pass our verification checks.
• The badge reflects checks done at a point in time. It is not a guarantee of your product quality or conduct, and you must not present it as a Brooch guarantee or certification.
• We may remove the badge if details change, documents expire, complaints are upheld or these terms are breached.

14Content licence and brand use

• You keep ownership of the content you upload, including text, photos, logos and documents.
• You grant Brooch a non-exclusive, royalty-free, worldwide licence to host, display, format, resize, translate and promote your listing content on the Platform, on social media and in Brooch marketing, for as long as the content is on the Platform and for a reasonable period after.
• You confirm that you have the right to upload the content and that it does not infringe anyone's rights.
• You may say you are a supplier on Brooch, but may not use the Brooch name or logo in a way that suggests partnership, ownership or endorsement without our written permission.

15Account security

• Keep your login details confidential and use a strong password.
• Only people authorised by your business should use the account. You are responsible for all actions taken through it.
• Tell us immediately if you suspect unauthorised access.

16Performance, reviews and ranking

The order in which suppliers and listings appear may depend on factors such as relevance to the search, listing completeness, verification status, response rate, buyer feedback, location and any paid placement. Paid placements, if introduced, will be labelled.

Buyers may be able to rate or review suppliers. You must not post fake reviews, pay for reviews or pressure buyers to change feedback.

17Suspension and removal

We may warn you, hide listings, remove the verified badge, suspend or permanently close your account, with or without notice, if:

• You provide false details or fake documents.
• You list prohibited, stolen or illegal items, or items you are not licensed to trade.
• Buyers make repeated genuine complaints about fraud, non-delivery, poor quality or misbehaviour.
• You misuse buyer data or send spam.
• You breach these Supplier Terms, the Terms of Use or any law.
• We are required to do so by law or by an authority.

Where appropriate, we will tell you the reason and give you a chance to respond. In serious cases, such as fraud or illegal goods, we may act immediately and report the matter to the authorities.

18Closing your account

You can close your supplier account at any time by writing to us. Your listings will be taken down within a reasonable time. We may keep some records, such as registration details and enquiry history, where required by law or to handle disputes, as explained in our Privacy Policy.

Closing your account does not cancel obligations for orders already accepted or fees already due.

19Liability and indemnity

Brooch provides the Platform "as is" and is not liable for losses arising from your dealings with buyers, including non-payment, cancelled orders or disputes. The limitation of liability in our Terms of Use also applies to suppliers.

You agree to indemnify Brooch, its directors and employees against any claim, penalty, loss or expense arising from your products, listings, content, transactions, tax obligations, breach of these Supplier Terms or violation of any law.

20Changes to these Supplier Terms

We may update these Supplier Terms as the Platform grows. We will show the new "Last updated" date and, for important changes, notify registered suppliers by email or on the dashboard. Continuing to list products after changes take effect means you accept them.
